1. Acceptance of Terms

By accessing or using ShopPilot ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including creators, businesses, and visitors. ShopPilot is operated independently and is not affiliated with TikTok or ByteDance.

2. Description of Service

ShopPilot is an AI-powered platform that helps TikTok creators automate content creation, embed TikTok Shop affiliate links, and schedule publishing. The Service includes, but is not limited to, AI video script generation, affiliate link management, automated scheduling, and analytics dashboards.

3. Account Registration

To access the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or use of your account
  • Accept responsibility for all activity that occurs under your account

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account. Accounts are for individual use and may not be shared with third parties unless you are on an eligible team plan.

4. Subscription and Billing

ShopPilot offers paid subscription plans. By subscribing, you authorize us to charge the applicable fees to your payment method on a recurring basis. All fees are stated in USD unless otherwise specified.

  • Subscriptions auto-renew at the end of each billing period unless cancelled
  • You may cancel your subscription at any time from your account settings
  • Cancellations take effect at the end of the current billing period — no partial-period refunds are issued unless stated in our Refund Policy
  • We reserve the right to change pricing with 30 days' advance notice to existing subscribers

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Publish content that is defamatory, obscene, harassing, or promotes illegal activity
  • Circumvent TikTok's terms of service or community guidelines
  • Generate spam, unsolicited communications, or misleading content
  • Attempt to reverse-engineer, decompile, or otherwise extract source code from the Service
  • Use the Service to infringe upon any intellectual property rights
  • Introduce malware, viruses, or other harmful code
  • Engage in any activity that disrupts or interferes with the integrity of the Service

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

6. Intellectual Property

Your content: You retain ownership of the content you create using the Service. By using ShopPilot, you grant us a limited, non-exclusive license to process and transmit your content solely as necessary to provide the Service.

Our platform: All software, design, trademarks, and materials comprising the Service are the exclusive property of ShopPilot. You may not use, reproduce, or distribute any part of the platform without our express written consent.

7. Third-Party Integrations

The Service integrates with third-party platforms including TikTok and TikTok Shop. Your use of those integrations is also subject to TikTok's own terms of service and community guidelines. ShopPilot is not responsible for any actions taken by TikTok, including account suspension, link removal, or commission reversals.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. EARNINGS FROM TIKTOK SHOP ARE NOT GUARANTEED — RESULTS DEPEND ON INDIVIDUAL CREATOR PERFORMANCE AND MARKET CONDITIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPPILOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE FEES YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless ShopPilot and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, if we believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time from your account settings.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

13. Changes to Terms

We reserve the right to update these Terms at any time. We will notify users of material changes via email or a prominent notice on the Service at least 14 days before changes take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.
